The period of empanelment shall be initially for a period of three years and further extendable up to a period of three months subject to satisfactory performance, on the same terms and conditions at the option of NFL. Tender Document can be obtained from the office of the undersigned for a cost of Rs.500/- (Rupees Five Hundred Ten Only) in the form of Demand Draft from Scheduled / Nationalized Bank in favour of “National Fertilizers Limited”, payable at New Delhi from 04.01.2017 onwards on all working days. Tender Document can also be downloaded from our website "www.nationalfertilizers.com" and the cost of Tender Document can be deposited in the form of Demand Draft for Rs.500/- issued by a Scheduled / Nationalized Bank in favour of “National Fertilizers Limited” payable at New Delhi at the time of submission of Tender. (A Govt. of India Undertaking) is one of the largest Fertilizer (Urea) producing Companies in India, having four manufacturing Units located at Panipat, Bathinda, Nangal and Vijaipur. The Company is interested to empanel reputed travel agencies having offices in all major cities of India for arranging Air/Rail tickets and also Hotel booking in India and abroad. 2. Sealed Tenders should be submitted to Chief Manager (HR), National Fertilizers Limited, A-11, Sector-24, NOIDA by 06.02.2017 up to 03:00 PM, which will be opened on the same day at 03.:30 PM in presence of representatives of the parties who wish to be present. 3. Complete Bid enclosing therewith all documents required to be submitted in a sealed envelope should be submitted in the office of Chief Manager (HR) NFL, Corporate Office, A-11, Sector-24, Noida by due date. 2. The bidder shall bear all costs pertaining to preparation and delivery of its bid. NFL shall in no case be responsible or liable for such costs. 3. The Bidder is expected to examine the Tender documents thoroughly. Failure to furnish all information required by the Tender document or submission of a Bid not substantially responsive to the Tender Document in all respect may result into rejection of the Bid. 4. The Bidders will not be allowed to make any amendments in the Bid Document submitted by them, at a later date. 5. EMD will be forfeited: (a) If a Bidder withdraws his Bid during the period of Bid validity. OR (b) In case of a successful Bidder, if the Bidder fails to sign the Contract in accordance with the Tender. 6. Tender shall remain valid for a period of 120 days after the date of Tender opening prescribed by the NFL. 7. The person or persons signing the Bid shall initial all pages of Bid. The name and position held by the person signing the bids must be typed or printed below the signature. 8. The Bid shall contain no interlineations, erasures or over-writing except as necessary to correct errors made by the Bidder, in which case the person or persons signing the bid shall initial such corrections. 9. The original Bid must be received by the designated officer of the NFL by due date and time. In the event of the specified date for the submission of the bids being declared a Holiday, the bids will be received up to the prescribed time and date on the next working day. 10. Any bid received after the deadline for submission of bids will be declared late and rejected and returned un-opened. 11. No modification/amendments to the bids already submitted are permitted. No bid can be withdrawn in the interval between the date for submission of the bids and the expiration of the period. 12. The bids will be examined for its correctness, documents enclosed, etc. NFL may waive any minor infirmity or non-conformity or irregularity in a bid, which does not constitute a material deviation. 13. NFL reserves the right to accept or reject any Bid and to scrap the tendering process and reject all bids at any time prior to empanelment, without thereby incurring any liability to the affected bidder or bidders or any obligation to inform the affected bidder or bidders. 14. The notification for empanelment will constitute the formation of a contract until the agreement has been executed. 15. Any effort to influence in any form may result in the rejection of its Bid. This document shall form part of Contract and should be signed and stamped by the Tenderer and submitted along with the offer. Job: The term “Job” means the works specified in the “Scope of Work”. 2. NFL shall mean National Fertilizers Limited with its Registered Office at SCOPE Complex, Core-III, 7, Institutional Area, Lodhi Road, New Delhi - 110 003 and its Corporate Office at A-11, Sector-24, Noida-201 301. 3. Travel Agency shall mean the Individual or firm or company, whether incorporated or not, undertaking the works and shall include the legal personal representative of such individual or persons composing such firm or company or the Successors of such individual, firm or company and the permitted assignee(s) of such individual or firm or company. 4. Officer-in-charge shall mean the Officer designated by NFL who shall supervise and be in-charge of the work and issue necessary instructions at site on behalf of NFL. 5. Tenderers shall strictly conform to the scope of work; specifications; terms and conditions of empanelment and any other matter contained in the Tender Document issued by NFL. 6. SCOPE OF WORK shall be as under: (a) International Air Ticket Booking: (i) The agency shall prepare all itineraries for travel in accordance with our requirements and effect all the necessary bookings with National Carrier and other Airlines. (ii) The agency shall get the Passport / Visa formalities completed from the concerned Executives of the Company and get it processed through Passport Office / Embassy for procuring Passport / Visa and timely deliver the same. However, where the Embassy charges, Visa fee, the same shall be paid / reimbursed to the agency on actual basis. (iii) The agency shall process the cases for foreign exchange through RBI, if required, and satisfy the RBI conditions etc. and obtain the permit on our behalf from RBI without any service charges. (b) Domestic Air Ticket Booking: The agency shall provide Domestic Air Tickets as per our requirements. (c) Rail Booking: The agency shall provide Rail tickets (e-tickets as well as tickets booked from counter) as per our requirement and timely deliver the same at the required place. (d) Hotel Booking: The agency shall provide Hotel bookings in India and abroad as per our requirement. 7. Empanelled travel agency shall arrange to book all air tickets on domestic as well as international flights of all airlines, including emergency booking / booking in odd situations and also train tickets, if required. They will have to deliver tickets at the NFL office / email address(es) of concerned officers during working hours / holidays / after office hours (at the expense of the travel agency). However, during exigencies, they shall have to deliver tickets personally at the address / destination of concerned officers and collect tickets for cancellation, if any, at their expense. The travel agencies should have complete information on delivery persons engaged and ensure only persons having clean police records are deployed for such duty. 8. The empanelled travel agency shall provide prompt and quality services. The authorized officer of NFL shall give bookings through e-mail. However, during exigencies the agency shall entertain bookings given by the authorized officer on telephone also (telephonic bookings shall be confirmed subsequently through email). 9. The empanelled travel agency shall be obliged to suggest economical / better plan only under refundable basis. In case confirmed tickets are not readily available, efforts are to be made by the travel agency for getting confirmed tickets at their own expense. 10. The empanelled travel agency should be prepared to deliver uninterrupted services taking into account weekly offs / holidays followed by NFL, if so required. In the event of poor / deficient services, NFL reserves the right to terminate forthwith the empanelment of the travel agency. 11. PERIOD OF EMPANELMENT: The period of empanelment will be three years, which may be extended further up to three months at the option of NFL in case the performance of the travel agency(ies) is found to be satisfactory. NFL also reserves the right to terminate the empanelment at any time during the currency of empanelment by giving one month’s notice without assigning any reason. 12. NFL reserves the right to avail of the services of one or more travel agencies. 13. SERVICE CHARGES: Empanelled travel agencies shall not claim any commission / charge for booking of air / rail ticket(s)/ hotel. The agency shall be reimbursed charges levied by Airlines / Railways towards booking or cancellation, including IRCTC charges, if any, and Service Tax, which is payable to the Government. 14. PAYMENT TERMS: The booking will be done on credit basis. Bills for bookings shall have to be submitted by the travel agency on monthly basis and, subject to the correctness of the bill, the payment will be made within 30 days. PENALTY: (a) The travel agency shall be responsible for and make good any loss or damage caused by act or default on the part of their employees, to NFL’s property. (b) In case of failure of the travel agency for providing quality and prompt services, the services will be taken from any other empanelled agency at the risk and cost of the travel agency plus 25% administrative charges. 16. EARNEST MONEY DEPOSIT/SECURITY DEPOSIT: Earnest Money of an amount of Rs.5,000/- by Demand Draft is to be deposited by the tenderer along with the offer. EMD of successful tenderers shall be retained as Security Deposit and will be refunded on successful completion of empanelment and after defect liability period of six months. EMD of unsuccessful bidders will be returned to them after finalization of empanelment of travel agencies. No interest will be payable on the Earnest Money Deposit/ Security Deposit. 17. FRAUD AND CORRUPTION: The Tenderers, Bidders, Travel agency should observe the highest standard of ethics during procurement and execution of Contracts. NFL will reject a proposal for award of Contract / empanelment if it determines that the Tenderer or the travel agency, recommended for award of Contract, has, directly or through an agent, engaged in corrupt, fraudulent, collusive or coercive practice in competing for the Contract in question. For the purpose of this provision, the terms are defined as set forth below: a. “Corrupt practice” means the offering, giving, receiving, or soliciting, directly or indirectly, of anything of value to influence the action of a public official in the procurement process or in contract execution; b. “Fraudulent practice” means a misrepresentation or omission of facts in order to influence a procurement process or the execution of a contract; c. “Collusive practice” means a scheme or arrangement between two or more Bidders, with or without the knowledge of the borrower, designed to establish bid prices at artificial, no competitive levels; and d. “Coercive practice” means harming or threatening to harm, directly or indirectly, person or their property to influence their participation in the procurement process or affect to execution of a contract. 18. TERMINATION: Notwithstanding anything elsewhere herein provided and in addition to any other right or remedy of NFL under the Contract or otherwise including right of NFL for compensation for delay, the Officer-in-charge may without prejudice to his rights against Travel agency in respect of any delay, bad workmanship or otherwise or to any claims for damage in respect of any breaches of the Contract and without prejudice to any rights or remedies under any of the provisions of this contract or otherwise and whether the date for completion of the Contract has or has not elapsed, by intimation, in writing, absolutely determine the Contract. (i) Default or failure by the travel agency of any of the obligations under the Contract including, but not limited to, the following shall be the basis of taking action under the Clause of the Contract: a. Failure to provide at each job site sufficient labour, material, equipment, machinery, temporary work and facilities required for the proper and / or due execution of the work or any part thereof. b. Failure to execute the work or any of them in accordance with the Contract. c. Disobedience of any order or instructions of the Officer-in-charge. d. Negligence in carrying out the works or if the performance is found to be unsatisfactory by the Officer-in- charge. e. Abandonment of the works or any part thereof. f. Failure to execute the Contract in terms of the Work Order issued by NFL within seven (7) days of notice in this behalf from NFL. g. If the travel agency is incapable of carrying out the work. h. If the travel agency or any of his employee(s) commits misconduct in any manner. i. If the travel agency or any person employed by him makes or offers to pay to employee(s) of NFL, for any purpose connected with the Contract, any gift, gratitude, royalty, commission, gratification or other inducement(s), whether monetary or in any other form. j. If the travel agency has any relation in the Company, but he has concealed the fact(s) and has not furnished the relevant information(s). k. If NFL determines that the Tenderer or the travel agency, recommended for award of Contract, has, directly or through an agent, engaged in corrupt, fraudulent, collusive or coercive practice in competing for the Contract in question. l. If the travel agency shall assign or attempt to assign his interest or any part thereof in the contract to any other party. (ii) In case of occurrence of any of the above incidents mentioned at Para 18(i)(a) to 18(i)(l), the Security Deposit of the travel agency shall be forfeited. Further, NFL reserves the right to award the contract to any other selected Tenderer(s) or get the jobs, left by the travel agency, done from any other agencies at the risk and cost of the travel agency. The excess expenditure incurred on this account plus 25% extra as administrative cost, will be recovered by NFL from the Security Deposit or pending bill(s) of the travel agency or by raising a separate claim. Sign. of Tenderer Page No.:6 of 15 No. : NFL/CO/ADM/C/728/2017/1143 with Seal of Firm Date : 02.01.2017 (iii) The Contract shall also be liable to be terminated in case of: (iv) Any change in the constitution of the travel agency (if a Firm) or circumstances or organization of the travel agency, which is detrimental to the interests of NFL. (v) Dissolution of the travel agency (If a Firm) or commencement of liquidation or winding up (whether voluntary or compulsory) of the travel agency (If a Company) or appointment of a Receiver or Manager of any of the travel agency’s assets or insolvency of the travel agency (if a Sole Proprietorship Firm) or insolvency of any partner(s) of the travel agency (if a Partnership Firm). (vi) Distress, execution or other legal process being levied on or upon any of the travel agency’s goods and / or assets. (vii) Death (if an individual). (viii) The decision of the Officer-in-charge as to whether any of the events / contingencies mentioned in aforesaid Clauses entitling NFL to terminate the Contract has occurred, shall be final and binding upon the travel agency and shall be non-obligation. The reason for the termination stated in the notice of termination shall be final and binding upon the travel agency and shall not be arbitrable. 19. In case of breach of any terms and conditions of the tender document, the Security Deposit of the travel agency will be liable to be forfeited by NFL besides termination of the contract / empanelment. 20. NFL reserves the right to terminate the contract / empanelment without assigning any reason by serving one month’s notice, in writing. 21. LIQUIDATED DAMAGES: It shall be obligatory on the part of the travel agency to adhere strictly to the time schedule for completion of the jobs. In case of delay in completion of jobs beyond the time schedule, unless extension of time has been granted by NFL on application by the travel agency, NFL may at its option either (i) recover liquidated damages from the travel agency at a sum equal to 5% of that particular transaction, or (ii) get the jobs (not completed by the travel agency) completed from outside at the risk and cost of the travel agency or (iii) cancel the empanelment without prejudice to our rights under (i) & (ii) above. 22. SUBMISSION OF BILL: A bill in duplicate along with the copy of air / rail ticket(s) / hotel bill(s) and certificate regarding compliance of all statutory obligations, shall be submitted by the travel agency each month on or before the date fixed by the Officer-in-charge for all works executed in the previous months. The Officer-in-charge shall check, verify and process the claim as far as admissible for reimbursement. 23. The travel agency will furnish a Certificate along with the monthly bill(s) that he has complied with all statutory obligations as are applicable in the Republic of India. 24. PAYMENT: (a) All the payments towards running account bills shall be advance payments. Any advance payments so allowed shall be adjustable in the subsequent running bill or in final payment. The payment against running bills shall be made after deducting all applicable statutory levies. (b) Payment against the running account bills shall be released to the travel agency after verification of the bill by the Officer-in-charge and checking of the bill by Accounts Deptt. within 30 days from the date of submission of the bill by the travel agency. (c) NFL shall not entertain any claim from the travel agency, if the payment gets delayed due to sorting out of the discrepancies, if any, in the bill. (d) Travel agency will have the option to receive payment through Electronic Funds Transfer (EFT) / RTGS Process. For this option, travel agency may submit its bank particulars, i.e. Travel agency’s Name, Name of the Bank, Bank Account No. (All digits in case of CBS branches), Place of Branch, Branch Code, IFSC Code, etc. to enable NFL to release payment accordingly. All bank charges will be to travel agency’s account. 25. PAYMENT OF TAXES AND DUTIES: (a) Service Tax, if applicable, for the work under the present Contract, shall be reimbursed by NFL to the travel agency. Liability of NFL shall be restricted to the amount of Service Tax only and any interest / penalty etc. shall be to the travel agency’s account. Service Tax Registration No. is to be provided by the Tenderer. (b) The travel agency will be responsible for the payment, wherever applicable, at its own cost all taxes, turnover tax, toll tax, sales tax, royalty, cess, levy and any other tax or duty which may be specified by Local / State / Central Govt. from time to time for the execution of this work. 26. INCOME TAX: Income Tax shall be deducted from the bill(s) of the travel agency as per Income Tax Act, 1961. PAN No. may be submitted by the Tenderer. 27. BID VALIDITY: The bid of tenderer must be firm and valid for a minimum period of 120 days (One hundred and twenty days) from the due date of opening of Tender. The Tender once accepted cannot be withdrawn and in the event of such withdrawal and / or non-execution of work / job, the Earnest Money Deposit shall stand forfeited without any intimation. COMPLIANCE OF STATUTORY OBLIGATIONS, WHEREVER APPLICABLE: The travel agency shall abide by the Contract Labour (Regulation and Abolition) Act, 1970 and Contract Labour (Abolition and Regulation) Central Rules, 1971 and shall also comply with all other Statutory Laws, Labour Laws, Acts and Rules made by the Appropriate Government, which are or may be applicable to the subject contract and / or contract labour during the currency of the contract. The travel agency shall also comply with all other applicable statues. 29. AGREEMENT: The successful bidder would be required to enter into an Agreement with National Fertilizers Limited on non-judicial stamp paper of Rs.100/- cost of which is to be borne by him. Till such time formal agreement is entered into between the travel agency and NFL, the communication from NFL conveying acceptance of the Tender of the bidder, shall be treated as the Agreement for the purpose of operation of contract. 30. DEFECT LIABILITY PERIOD: A period of 6 months from the date of virtual completion of the works shall be deemed as Defect Liability Period. Any defect or other faults arising from material or workmanship, in the opinion of the owner (NFL), not in accordance with the contract, within the defect liability period shall, upon directions of the owner (NFL), in writing, be made good by the travel agency at its own cost within such reasonable period as may be specified therein. NFL shall be under no obligation to accept/ entertain any claim/ demand whatsoever in this behalf. 31. NOTICES: Any notice, request or consent sought pursuant to the Tender shall be in writing and shall be deemed to have been made when delivered in person to an authorized representative of the travel agency to whom the communication is addressed, or when sent by speed post, telex, telegram, facsimile, courier or electronic mail to the travel agency. 32. DELISTING: In case, the travel agency repeatedly fails to perform, causes abnormal delays, supplies sub-standard material, fails to attend to complaints and improve performance within a reasonable time, he / she shall be delisted from the approved list / list of pre-qualified parties for a period of two years. 33. BLACKLISTING: In case a party is found guilty of bribery, corruption, dishonesty, mal-practice, submission of forged documents, misrepresentation, fails to refund the amount due to the company, fails to return the balance material issued for execution of the jobs, backs out and does not accept work order, such party(ies) shall be blacklisted. 34. ARBITRATION: (a) Except where otherwise provided in the contract, all matters, questions, disputes or differences whatsoever, which shall at any time arise between the parties hereto, touching the construction; meaning, operation or effect of the contract, or out of the matters relating to the contract or breach thereof, or the respective rights or liabilities of the parties, whether during or after completion of works or whether before or after termination shall after written notice by either party to the contract be referred to Chairman & Managing Director, National Fertilizers Limited for appointment of Arbitrator. (b) The Arbitration proceedings shall be governed by the Arbitration & Conciliation Act, 1996 or any further statutory modification or re-enactment thereof and the rules made thereunder. (c) If the arbitrator to whom matter is referred, vacates his / her office by any reason whatsoever then the next arbitrator so appointed by the authority referred above may start the proceedings from where his predecessor left or at any such stage he may deem fit. (d) It is agreed by and between the parties that in case a reference is made to the Arbitrator or the Arbitral Tribunal for the purpose of resolving the disputes / differences arising out of the contract by and between the parties hereto, the Arbitrator or the Arbitral Tribunal shall not award interest on the awarded amount more than the rate SBI PLR / Base Rate as applicable to NFL on the date of award of contract. 35. JURISDICTION: Notwithstanding the place where the work under this contract is to be executed, it is mutually understood and agreed by and between the parties hereto that the contract shall be deemed to have been entered into between the parties concerned in Delhi and the Courts of Law in Delhi alone shall have the jurisdiction over all matter concerning this contract. 36. FORCE MAJEURE: The terms and conditions agreed upon under the contract shall be subject to Force Majeure. Neither the travel agency nor NFL shall be considered in default in the performance of their obligation contained therein, if such performance is prevented or delayed or restricted or interfered with by reason of War, Hostilities, Revolutions, Civil Commotion, Strike, Epidemics, Accidents, Fires Flood, Earthquake, regulation or ordinance or requirement of any Government or any sub-division thereof, or authority or representative of any such Govt. and/or due to technical snag/reasons or any other Act whatsoever, whether similar or dissimilar to those enumerated beyond the reasonable control of the parties hereto or because of any act of GOD. The party so affected, upon giving prompt notice to the other party shall be excused from such performance to the extent of such prevention, delay, restriction or interference for the period it persists provided that the party so affected shall use its best efforts to avoid or remove such causes of non-performance if possible and shall continue performance hereunder with the utmost dispatch whenever such causes are removed. Should one or both parties be prevented from fulfilling their contractual obligations by a state of Force Majeure lasting continuously for a period of one week, the two parties to the contract shall meet and decide about the future course of action for implementation of the contract. 37. The bidders should check for any omission or incompleteness in the Tender Form. If the Tender Form is not so filled-in and completed, the bidder shall request NFL to have this done before he completed and delivered his bid. 38. NFL will have the right to issue addendum to Tender Document to clarify, amend, modify, supplement or delete any of the conditions, clauses or items stated. In case, due to some unforeseen circumstances, the date of receiving / opening of the tender happens to be a holiday / closed day, the tender will be received and opened on the next working day. 40. NFL reserves the right to postpone the tender opening date and / or time and will intimate all the tenderers well in time, of such postponement along with notice of revised opening date and time. 41. One person will be allowed to represent only one tenderer during discussions/negotiations with NFL. If same person is representing different companies with authorization letter from more than one company, such person will be allowed to represent only the first company called for negotiations. 42. Bidders may ensure that Tender Document / offer has been signed by appropriate / authorized representative of the Company. Withdrawal of offer /non-acceptance of orders placed based on offers submitted by bidders on their letter head will not be allowed on the grounds that offer was not signed by authorized person. 43. The prospective Tenderers having any common Partners / Directors / Managing Partners etc. or having any other common criteria shall be considered as Sister / Group / Associate Company. In such cases, only one of them will be eligible for participating in the tender. 44. It shall be certified by the tenderer that none of the NFL employee is related to owners / directors. (In case any relative is working in NFL, furnish details separately). It shall also be certified by the tenderer that none of NFL’s ex- employee is employed with them. (In case any ex-employee of NFL is employed, furnish details separately). It shall be certified by the tenderer that none of blood relation of the owners / directors is participating in this tender in the name of other firm. NFL shall have option to reject the Tender on this ground. 45. NFL reserves the right to accept or reject any or all tender(s) / quotation(s) in full or in part without assigning any reason thereof. NFL also reserves the right to split and place order on more than one tenderer. 46. If a tenderer resorts to any frivolous, malicious or baseless complaints / allegations with an intent to hamper or delay the tendering process or resorts to canvassing / rigging / influencing the tendering process, NFL reserves the right to debar such tenderer from participation in the present / future tenders up to a period of two years. 47. ELIGIBILITY CRITERIA: Eligibility criteria for empanelment of parties shall be as under: (a) The party should have at least three years’ experience in similar work. Self-attested copies of successful Completion Certificate(s) / Work Orders issued by clients should be submitted. (b) Self-attested Banker’s Report / Certificate issued by Nationalized / Scheduled Bank giving financial soundness status of the tenderer should be submitted. (c) Self-attested Annual Report (Audited Balance Sheet and Profit & Loss Account) for the last three years, i.e. 2013-14, 2014-15, 2015-16, should be submitted. (d) Self-attested copy of Certificate of Registration with Department of Tourism should be submitted. (e) Self-attested copy of Certificate of Registration with International Air Transport Association (IATA) should be submitted. (f) Self-attested copy of Permanent Account Number should be submitted. (g) Self-attested copy of Service Tax Registration Certificate should be submitted.
