TENDER INSTRUCTIONS AND CONDITIONS 1. DEFINITIONS The information which is contained in this document shall construe as instructions and guidance to tenderers and will subsequently form part of the Contract document. All terms used in the Conditions of tendering which are defined in the Conditions of Contract shall have meanings so ascribed to them. Throughout this Invitation to Tender and any resultant Contract, unless the context otherwise requires, the following definitions shall apply, (a) “Invitation to Tender” means the invitation to participate on this Tender and comprises: (i) Tender Documents forwarded to the Tenderer inclusive of the Covering Letter and Part I to Part V of the Tender Documents; (ii) Any other documents and forms enclosed; and (iii) All documents referred to but not issued to Tenderers. (b) “Main Contract” means the contract for the construction for the Proposed Additions and Alternations of Existing Childcare Centre at HDB Void Deck to a Kidney Dialysis Centre, Block 311 Ubi Ave 1. (c) “Contractor” or “Main Contractor” means the person, firm or corporation whose tender has been accepted by the Employer and includes the contractor’s legal personnel representative and any person to whom the right or liabilities of the contractor have been assigned or transferred the agreement in writing of the Employer under Clause 15 of the Conditions of Building Contract. (d) “Authority” or Authorities” means any government department or authority or statutory body that has jurisdiction with regard to the Works or to whose systems the same are or will be connected either temporarily or permanently or whose services will be used in connection with the Works. (e) “Site” means the lands and other places on, in under, over or through which the Works are to be executed or carried out or any other lands or places provided by the Employer for the purposes of the Contract. (f) “Works” means the temporary Works and the Permanent Works, and where the context requires, a phase or part of the Works as described in the Contract Drawings and Specification. (g) “Contract Drawings” means the drawings referred to in the Contract including such drawings which have been prepared by the Contractor and accepted by the Architect and such other drawings as may from time to time be issued or accepted in writing by the Architect. Tender Instructions and Conditions TC/1 (h) “Specification” means all specifications contained in the Contract including any modifications or additions thereto as may from time to time be issued or approved in writing by the Architect. (i) “Construction Drawings” means the Contract Drawings and any modifications thereof and any other drawings including such drawings which have been prepared by the Contractor and accepted by the Architect and such other drawings as may from time to time be issued or accepted in writing by the Architect. (j) “Condition of Building Contract” means the Conditions of Building Contract (Lump Sum Contract) Ninth Edition, Reprinted August 2011 including Appendix and Supplemental Conditions; published by Singapore Institute of Architects. (k) “Contract Sum” means the lump sum set out in the Articles of Contract and shall be fixed subject only to adjustments expressly provided for in the Contract. Save as set out above, all other terms referred to in this Invitation to Tender shall have the same meanings as those given in the Conditions of Contract. 2. TYPE OF CONTRACT This is a Lump Sum Contract and the price is fixed, not subject to fluctuations in the prices of materials, goods or any other constituent part of the works or to measurement or recalculation should the actual quantities of work and materials (unless otherwise provided) differ from any estimates available to or submitted by the Tenderer at the time of contracting, except in regard to variations which may be ordered by the Architect, which shall be valued in accordance with the SIA Conditions of Conditions of Building Contract (Lump Sum Contract) 9th Edition, Reprinted August 2011 including Appendix and Supplemental Conditions, published by Singapore Institute of Architects. In conjunction with SIA Conditions of Sub-Contract (4th Edition, Reprinted August 2011). 4. SUBMISSION OF TENDER OFFER The Tenderer shall complete, stamp and sign all parts of this Tender Document where required. Failure to do so will render the tender incomplete and liable for rejection. The documents which are required to be submitted with the Tender Offer shall comprise 1 Set Original and 2 Sets Copies of the followings: (1) The original set of tender documents duly completed, stamped and signed. (2) The original set of all other documents required to be returned. (3) Project execution and quality plan. (4) Preliminary program of the Works. (5) Resumes of key personnel to be assigned to project. Tender documents shall be submitted to: Swan & Maclaren Pte Ltd 158 Cecil Street #06-01 Singapore 069545 5. TENDER DEPOSIT The tender deposit will be refunded in full to the unsuccessful tenderers. The Tender Deposit of successful tenderer will be used to defray the documentation costs of the Tender. 6. GOODS AND SERVICE TAX Tenderers shall not include in the rates and prices proposed in their Tenders, the Goods and Service Tax (GST) chargeable for the supply of goods, services or works required in the Tender. All rates and prices are exclusive of GST. The Employer will reimburse the successful Tenderer any GST charged on the goods, services or works supplied. GST Registration (a) The Tenderer shall declare his GST status in the Tenderer’s profile. He shall clearly indicate whether he is, or whether will be a taxable company under the GST Act. He shall furnish the GST registration number when required. (b) The Tenderer shall deem to be a taxable company if no declaration to the contrary is made in the Tender. A Tenderer who declares himself to be a non-taxable company but who becomes a taxable company after accepting the Tender award shall inform the Employer and then after be entitled to reimbursement of any GST charged on the goods, services and works supplied to the project. 7. VALIDITY OF TENDER The Tender Offer is irrevocable and remains valid for acceptance by the Employer for 180 days from closing date of this Tender. At the request of the Employer, the validity date of this Tender shall be extended by mutual consent in writing. Tender Instructions and Conditions TC/4 8. AWARD The Employer/Architect is NOT bound to accept the lowest or the whole of the Tender Offer. The Employer has no obligation to enter into correspondence with any Tenderer regarding the reasons for non-acceptance of a Tender Offer. The Employer reserves the right to accept the Tender Offer in whole or in part with regard to the items, equipment and/or quantities tendered. In the event of such acceptance, the Contract price shall be adjusted commensurately on the basis. The Architect shall notify the successful Tenderer of its acceptance of the Tender Offer, whether in whole or in parts by issuance of a Letter of Award on behalf of the Employer. The successful Tenderer with a bona fide tender shall then enter into a Contract with the Employer. 9. VARIATIONS/NEGOTIATION The Architect/Employer reserves the right to negotiate with the Tenderer, where exceptional circumstances so necessitate, to vary any provision or part of the Tender without reference to any other parties. Any such variation shall be subject to mutual agreement in writing between the Architect/Employer and the Tenderer. 10. PERFORMANCE BOND A performance bond in the Form of Banker Guarantee equivalent to 10% of the awarded Contract Sum is required for this contract and should be placed with the Contractor within 14 days of contract award. 11. INSURANCE Contractor’s All Risk insurance is required to be covered under the Main Contract. The Tenderer shall include in his tender for Workmen’s Compensation insurance as specified in the Bill of Preliminaries. 12. CONFIDENTIALITY OF TENDER AND INFORMATION The Tenderer shall treat the Tender with the strictest confidentiality. He shall neither communicate his prices and rates to any third party, nor reveal any matters pertaining to the information contained in this Tender Document to the public or the press. Any breach of confidentiality by the Tenderer shall render his Tender Offer being rejected by the Architect. The Employer may require an unsuccessful Tenderer to return any specifications, plans, drawings, patterns, samples or information issued by the Employer. 13. SUFFICIENCY OF TENDER The Tenderer shall ensure that his Tender Offer adequately provides for the completion of the whole Works under this Contract as shown in the Tender Documents. He should also allow in his Tender Offer for any works which inherently required by the nature of work under ‘other items’ in the Schedule of Works. 14. DISCREPANCIES, OMISSIONS & ERRORS Any tenderer who has doubt as to the meaning and intention of the tender documents shall formerly notify the Architect in writing for clarification. The Tenderer is deemed to have checked the entirety of the contents of the Tender Documents, failing which it shall be deemed that the Tender Documents are sufficient for purposes of this Invitation to Tender. Tender Instructions and Conditions TC/5 Tenderers are advised to study these Tender Documents very carefully before finalising their Tender Offer for submission. They should make their own enquiries and seek out clarification as they deem necessary. The onus is on the Tenderer to ensure that a complete Tender Offer is submitted. The Employer shall not be liable to any Tenderer for any information in the Tender Documents which is incomplete or inaccurate. The Employer shall not entertain any request made after the Tender Closing Date for bid variation or submission of additional quotes for items left out in the original submission on any ground whatsoever. The Tenderer shall be solely responsible for all such omissions or errors in his Tender Offer. 15. AMENDMENTS TO THE TENDER DOCUMENTS At any time prior to the dateline for tender submission, the Employer/ Architect may for any reason modify, change or revise the tender documents by the issuance of a Corrigendum and Addendum, which will be sent to all Tenderers. The Tenderers shall promptly acknowledge receipt of any Corrigendum and Addendum to the Employer in writing. Tenderer who does not acknowledge receipt of any corrigendum and addendum will not be permitted to submit his tender. 16. ALTERATIONS, ERASURES OR ILLEGIBILITY Except for amendments to the entries made by the Tenderer himself which are initiated by the Tenderer, Tender Offers bearing any other alterations or erasures that are not legible stated are liable to be rejected. 17. COMPLIANCE WITH INSTRUCTIONS Tender Offers will be accepted only if submitted according to the Instructions contained herein and in the form(s) prescribed. Any Tender Offer which attempts to vary the Form of Tender or Conditions of Contract in the Tender Documents is liable to be rejected. In consideration of the Tenderers agreeing to abide by these Instructions, the Employer / Architect shall evaluate the Tender Offers fairly and in accordance with the said Instructions. 18. ARITHMETICAL ERRORS Should any arithmetical or obvious pricing error is discovered before acceptance by the Architect, then such error shall be corrected so that the total amount in the Summary of Tender correspond with the amount inserted in the Form of Tender. 19. COMPLIANCE WITH TECHNICAL REQUIREMENTS The Tenderer shall provide explicit responses of compliance or non-compliance with any other technical requirements enclosed in the Tender Documents. In the event of any non- compliance with the technical requirements, the Tenderer shall satisfy the Employer (by providing a certification from the manufacturer of the item offered or a copy of relevant extract from any reputable publication citing clearly its title and edition) that the technical requirements, form, fit and function of the items offered are equivalent to the items required and that they are interchangeable. Where the Tenderer fails to satisfy the Employer in the manner above, the Tender Offer is liable to be rejected. Tender Instructions and Conditions TC/6 20. SITE VISIT Tenderers are advised to visit and examine the site and its surroundings and obtain for themselves on their own responsibility and at their own cost all information that may be necessary for preparing their Tender Offers. 21. OWNERSHIP OF TENDER DOCUMENTS All documents submitted by the Tenderer in response to this Invitation to Tender shall become the property of the Employer. However, intellectual property in the information contained in the Tender Offer submitted by the Tenderer shall remain vested in the Tenderer. This Clause is without prejudice to any provisions to the contrary in any subsequent contract between the Tenderer and the Contractor. 22. TENDER EVALUATION The tender submission shall be evaluated based on the following criteria: 22.1 Critical Criteria Tenderer must satisfy all the critical criteria below before their Tender Offer would be considered for evaluation. The critical criterial are as follows: (i) Compulsory attendance at site show round and briefing*; (ii) Registration of Tenderer with BCA under Construction Workheads CW01 (General Building) with tendering limit of C2 (S$1,300,000.00) and above 22.2 Evaluation Using the Price-Quality Method 22.2.1 The tender shall be evaluated using the Price-Quality Method. Price and Quality Criteria are assigned weightings and translated into quantitative scores, which are then totalled to give a Combined Score during tender evaluation. 22.2.2 The weightage of Lump Sum Tender Price and the Quality Criteria shall be as follows: Lump Sum Tender Price - 70% of Combined Score Quality Criteria - 30% of Combined Score Tender Instructions and Conditions TC/7
