CA 94103-2490 Telephone415.923.4003 •Fax415.923-6966 Telephone415.431.8700•Fax415.431-8702 www.picsf.org•e-mail:[email protected] TDD800.735.2929(CRS) Employer -Employee Relations Resolution WHEREAS, the Private Industry Council ofSan Francisco, Inc., Board of Directors (hereafter "the Board") desires to implement sections 3500 - 351 1 ofthe California Government Code (the Meyers-Mihas-Brown Act, or "MMBA"), as amended; NOW, THEREFORE, BE IT RESOLVED that the Board hereby adopts these MMBA: policies governing employer-employee relations pursuant to the 1. Purpose: The purpose ofthis Resolution is to implement the Board's rules and regulations governing labor relations. This Resolution supersedes all previous policies and procedures relating to employer-employee resolutions. This Resolution may only be amended by a resolution approved by the Board. 2. Definitions As used in this Resolution, the following terms are defined : as follows: a. "Bargaining Unit" means a unit ofemployee classifications and/or positions established by the Board. b. "Board" refers to the Board ofDirectors ~ the governing body of the Private Industry Council ofSan Francisco, Inc. (an IRC § 501(c)(3) nonprofit corporation) and the Executive Committee ofthe Workforce Investment Board ofSan Francisco. Where appropriate, "the Board" includes any duly authorized Board representative, or Committee thereof c. "Certify" means the process by which the Board formally acknowledges an employee organization as the exclusive representative ofa bargaining unit. d. "Confidential Employee" means an employee or position, as designated by the Board, who could reasonably have access to confidential information that could affect employer-employee relations. e. "Day" means calendar day unless expressly stated otherwise. f "Employee" means any person employed by the Private Industry MMBA, Council that is subject to the but generally does not include: (1) appointed and elected officials; (2) trainees; (3) temporary or intermittent workers; or (4) program participants. 1 g. "Employee Organization" means any organization that includes employees ofPIC, and which has one ofits primary purposes representing such employees in their labor relations with PIC. h. "Impasse" means a deadlock in negotiations concerning matters within the scope ofrepresentation. i. Management or Managerial Employee means an employee, as reasonably designated by the Board, who formulates and effectuates Board policies by expressing and making operative the decisions ofthe Board, or who is substantially involved in developing and/or implementing Board management policies. j. "Memorandum ofUnderstanding" (or "MOU") means a written agreement between the Board and the recognized employee representative regarding MOUs wages, hours and working conditions within the scope ofrepresentation. and each oftheir provisions shall not be valid or enforceable unless and until adopted by the Board. k. "Notice" means depositing the information at issue, properly addressed with correct postage for first class delivery, in a United States Postal Service (USPS) facility. Unless otherwise specified in this resolution, or otherwise agreed between the affected parties in writing, notice shall be complete upon deposit in a USPS mail box or facility. 1. "PIC" refers to the Private Industry Council ofSan Francisco, Inc. m. "President" refers to the President ofPIC, unless otherwise specified. The President may delegate any responsibility specified in this resolution. n. "Recognized Employee Representative" means an employee organization which has been formally recognized by the Board as the exclusive representative ofa bargaining unit or units for purposes ofmeeting and conferring on MMBA. matters within the scope ofrepresentation under the o. "Scope ofrepresentation" shall include all matters relating to employment conditions and employer-employee relations, including, but not limited to, wages, hours, and other terms ofconditions ofemployment; provided, however, that the scope ofrepresentation shall not include consideration ofthe merits, necessity, or organization ofany service or activity provided by law or executive order, or any other matter excluded by applicable case law or statute. p. Supervisory Employee means any employee, as reasonably designated by the Board, having significant authority, in the interest ofthe Board, to hire, transfer, suspend, lay off, recall, promote, discharge, assign, reward or discipline one or more other employees; or to direct or supervise them; or to adjust or advise regarding grievances. 2
