PRELIMINARY OFFICIAL STATEMENT AND NOTICE OF SALE DATED JUNE 7, 2017 Ratings: S&PGlobalServices:SP-1+ In the opinion of Locke Lord LLP, Bond Counsel, based upon an analysis of existing law and assuming, among other matters, compliance with certain covenants, interest on the Notes is excluded from gross income for federal income tax purposes under the Internal Revenue Code of 1986, as amended (the “Code”). Interest on the Notes is not a specific preference item for purposes of the federal individual or corporate alternative minimum taxes, although such interest is included inadjusted currentearnings whencalculating corporate alternative minimum taxableincome. Under existing law, interest on the Notes is exempt from Massachusetts personal income taxes, and the Notes are exempt from Massachusetts personal property taxes. Bond Counsel expresses no opinion regarding any other tax consequences related to the ownership or disposition of, or the accrual or receipt of interest on, the Notes. The Notes will not be designated as “qualified tax-exempt obligations” for purposes of Section 265(b)(3) of the Code. See “Tax Exemption” herein. CITY OF BROCKTON, MASSACHUSETTS $11,748,000 GENERAL OBLIGATION BOND ANTICIPATION NOTES The City of Brockton, Massachusetts (the “City”), will receive telephone bids at FirstSouthwest, a Division of Hilltop SecuritiesInc.,(617)619-4400,until12:00Noon(easterndaylighttime)onWednesday,June14,2017,forthepurchaseof thefollowingdescribedGeneralObligationBondAnticipationNotes(the“Notes”)oftheCity: $11,748,000 GeneralObligationBondAnticipationNotes(newandrenewal)datedJune30,2017andpayableonJune 29, 2018. Intereston theNotes willbecalculated on a 30 day-month/360 day-year basis (359/360). The Noteswillnotbesubjecttoredemptionpriortotheirstatedmaturitydate. The Notes will be issued by means of a book-entry system, evidencing ownership of the Notes in the principal amount of $1,000 or integral multiples thereof, with transfers of ownership effected on the records of The Depository Trust Company (DTC) and its Participants pursuant to the rules and procedures adopted by DTC unless a successful bidder requests the issuance of a physical certificate as described herein. Such cost will be determined by computing the total amount of interest on the Notes, at the rate or rates stated, from June 30, 2017 until maturity of the Notes and deducting therefrom the sum,if any, by which the amount bid for the Notes exceeds the aggregate principal amount of the Notes. In the event a bidder offering a premium for the Notes is awarded a lesser amount of the Notes than bid, the premiumshallbereducedproportionately. The successful bidder for the Notes may request that such Notes be issued in the form of one fully registered physical certificate, rather than in book-entry form through the facilities of The Depository Trust Company. The successful bidder seeking the issuance of Notes in this manner shall bear any and all costs of any re-registration or transfer of such Notes from time to time. Any bidder seeking to have Notes issued in the form of fullyregistered physical certificates, rather than in book-entry form, shall indicate this preference to the City at the time of the submission of the winning bid. The City reserves the right to decline any request to issue the Notes in non-book entry form if it should determine, in its sole discretion,thatissuingNotesinthismannerisnotinitsbestinterests. The successful bidder shall assist the City in establishing the issue price of the Notes and shall execute and deliver to the City on the Closing Date an “issue price” or similar certificate, in the applicable form set forth in Exhibit 1 to this Notice of Sale, setting forth the reasonablyexpected initial offering price to the public or the actual sale price of the Notes, together with the supporting pricing wires or equivalent communications, or, if applicable, the amount bid, with such modifications as maybe appropriateor necessary,inthereasonablejudgmentof thesuccessfulbidder,theCityand BondCounsel. Competitive Sale Requirements. If the competitive sale requirements (“competitive sale requirements”) set forth in TreasuryRegulation§1.148-1(f)(3)(i)(defining“competitivesale”forpurposesofestablishingtheissuepriceoftheNotes) havebeen satisfied,theCitywillfurnish to the successfulbidder on the Closing Date acertificate of the Financial Advisor, whichwillcertifyeachofthefollowingconditionstobetrue: 1. the City has disseminated this Notice of Sale to potential underwriters in a manner that is reasonably designedtoreachpotentialunderwriters; 2. allbiddershadanequalopportunitytobid; 3. the City received bids from at least three underwriters of municipal bonds who have established industry reputationsforunderwritingnewissuancesofmunicipalbonds;and 4. the City awarded the sale of the Notes to the bidder who submitted a firm offer to purchase the Notes at thehighestprice(orlowestinterestcost),assetforthinthisNoticeofSale. Any bid submitted pursuant to this Notice of Sale shall be considered a firm offer for the purchase of the Notes, as specified in the bid. Unless a bidder notifies the City prior to submitting its bid by contacting the Financial Advisor 617.619.4411, and affirming in writing via email or facsimile, or in its bid submitted to Parity, that it will NOT be an “underwriter” (as defined below) of the Notes, by submitting its bid, each bidder shall be deemed to confirm that it hasan established industryreputation forunderwriting new issuancesof municipalbonds.Unless thebidderhasnotified theCitythat it willnot bean “underwriter” (asdefined below) oftheNotes,in submitting a bid, each bidder is deemed to acknowledge that it is an “underwriter” that intends to reoffer the Notes to the public. Failure to Meet the Competitive Sale Requirements – Option A – The Successful Bidder Intends to Reoffer the Notes to the Public. If the competitive sale requirements are not satisfied and the successful bidder intends to reoffer the Notes to thepublic,theCitywilluse thefirstpriceat which10% of theNotes (the“10% test”) is soldtothe public as theissueprice oftheNotes. ThesuccessfulbiddershalladvisetheFinancialAdvisorifthe10%testissatisfiedasofthedateandtimeof the award of the Notes. The City will not require bidders to comply with the “hold-the-offering-price rule” set forth in the applicable Treasury Regulations and therefore does not intend to use the initial offering price to the public as of the Sale DateastheissuepriceoftheNotesifthecompetitivesalerequirementsarenotmet. If the competitive sale requirements are not satisfied, then until the 10% test has been satisfied as to Notes or all of the Notes are sold to the public, the successful bidder agrees to promptly report to the Financial Advisor the prices at which the unsold Notes have been sold to the public, which reporting obligation shall continue, whether or not the Closing Date has occurred, until the 10% test has been satisfied for the Notes or until all the Notes have been sold. The successful bidder shall be obligated to report each sale of Notes to the Financial Advisor until notified in writing by the City or the FinancialAdvisorthatitnolongerneedstodoso. Further,forpurposesofthisNoticeofSale: 1. “public”meansanypersonotherthananunderwriterorarelatedparty, 2. “underwriter” means (A) any person that agrees pursuant to a written contract with the City (or with the lead underwriter to form an underwriting syndicate) to participate in the initial sale of the Notes to the public and (B) any personthatagrees pursuanttoawrittencontractdirectlyor indirectlywithapersondescribedinclause(A) toparticipate in the initial sale of the Notes to the public (including a member of a selling group or a partyto a retail distribution agreement participatingintheinitialsaleoftheNotestothepublic),and 3. a purchaser of any of the Notes is a “related party” to an underwriter if the underwriter and the purchaser aresubject,directlyor indirectly, to(i) at least 50% commonownership of the voting power or the total value of their stock, if both entities are corporations (including direct ownership by one corporation of another), (ii) more than 50% common ownership of their capital interests or profits interests, if both entities are partnerships (including direct ownership by one partnership of another), or (iii) more than 50% common ownership of the value of the outstanding stock of the corporation or the capital interests or profit interests of the partnership, as applicable, if one entity is a corporation and the other entity isapartnership(includingdirectownershipoftheapplicablestockorinterestsbyoneentityoftheother). Failure to Meet the Competitive Sale Requirements – Option B – The Successful Bidder Does Not Intend to Reoffer the Notes to the Public. If the competitive sale requirements are not met and the successful bidder does not intend to reoffer the Notes to the public, the City shall treat the Notes as sold in a private placement and shall treat the amount bid as the issueprice. The purchaser(s) will be furnished, without cost, the opinion of Locke Lord LLP, Boston, Massachusetts, approving the legality of the Notes. The opinion will indicate that the Notes and the enforceability thereof may be subject to bankruptcy and other laws affecting creditors’ rights and that their enforceability may also be subject to the exercise of judicial discretion in appropriate cases. Payment of the principal of and interest on the Notes is not limited to a particular fund or source of revenue nor is any lien or pledge for such payment created with respect to anysuch fund or source. The Notes will be valid general obligations of the City of Brockton and, except to the extent they are paid from the bond proceeds in anticipation of which they are issued, or from any other available moneys, the principal of and interest on the Notes are payable from taxes which may be levied upon all taxable property in the City subject to the limit imposed by Chapter 59, Section21CoftheGeneralLaws(Proposition21/2). TheNoteswillnotbedesignatedas“qualifiedtax-exemptobligations”forthepurposeofSection265(b)(3)oftheCode. It is anticipated that CUSIP identification numbers will be printed on the Notes. Neither the City nor FirstSouthwest, a Division of Hilltop Securities Inc. assumes responsibility for any CUSIP Service Bureau or other charges that may be imposedfortheassignmentofsuchnumbers. TaxExemption In the opinion of Locke Lord LLP, Bond Counsel to the City (“Bond Counsel”), based upon an analysis of existing laws, regulations,rulings,andcourtdecisions,andassuming,amongother matters,compliancewithcertaincovenants,interest on the Notes is excluded from gross income for federal income tax purposes under Section 103 of the Internal Revenue Codeof1986,asamended(the“Code”). BondCounselisofthefurtheropinionthatinterestontheNotesisnotaspecific preference item for purposes of the federal individual or corporate alternative minimum taxes, although Bond Counsel observes that such interest is included in adjusted current earnings when calculating corporate alternative minimum taxableincome. BondCounsel expresses noopinion regarding anyother federaltax consequences arising withrespect 2 to the ownership or disposition of, or the accrual or receipt of interest on, the Notes. The Notes are not “qualified tax- exemptobligations”forpurposesofSection265(b)(3)oftheCode. The Code imposes various requirements relating to the exclusion from gross income for federal income tax purposes of interest on obligations such as the Notes. Failure to comply with these requirements may result in interest on the Notes being included in gross income for federal income tax purposes, possibly from the date of original issuance of the Notes. The City has covenanted to comply with such requirements to ensure that interest on the Notes will not be included in federalgrossincome. TheopinionofBondCounselassumescompliancewiththeserequirements. BondCounselisalsooftheopinionthat,underexistinglaw,interestontheNotesisexemptfrom Massachusettspersonal income taxes, and the Notes are exempt from Massachusetts personal property taxes. Bond Counsel has not opined as to other Massachusetts tax consequences arising with respect to the Notes. Prospective Noteholders should be aware, however, that the Notes are included in the measure of Massachusetts estate and inheritance taxes, and the Notes and the interest thereon are included in the measure of certain Massachusetts corporate excise and franchise taxes. Bond Counsel expresses no opinion as to the taxability of the Notes or the income therefrom or any other tax consequences arisingwithrespecttotheNotesunderthelawsofanystateotherthanMassachusetts. TotheextenttheissuepriceoftheNotesislessthantheamounttobepaidatmaturityofsuchNotes(excludingamounts stated to be interest and payable at least annually over the term of such Notes), the difference constitutes “original issue discount,” the accrual of which, to the extent properly allocable to each owner thereof, is treated as interest on the Notes whichisexcludedfromgrossincomeforfederalincometaxpurposesandisexemptfromMassachusettspersonalincome taxes. For this purpose, the issue price of the Notes is the reasonably expected initial offering price to the public (as definedintheNoticeofSale). However,ifthecompetitivesalerequirement(asdefinedintheNoticeofSale)arenotmet, the issue price of the Notes is the first price at which a substantial amount of the Notes is sold to the public (excluding bond houses, brokers, or similar persons or organizations acting in the capacity of underwriters, placement agents or wholesalers). Theoriginalissuediscount withrespect toanymaturityof theNotes accrues dailyover theterm tomaturity of suchNotes onthebasis of aconstantinterestratecompoundedsemiannually(withstraight-line interpolations between compounding dates). The accruing original issue discount is added to the adjusted basis of such Notes to determine taxable gain or loss upon disposition (including sale, redemption, or payment on maturity) of such Notes. Noteholders should consult their own tax advisors with respect to the tax consequences of ownership of Notes with original issue discount,includingthetreatmentofpurchaserswhodonotpurchasesuchNotesintheoriginalofferingtothepublicatthe reasonably expected initial offering price to the public, or, if applicable, the first price at which a substantial amount of suchNotesissoldtothepublic. Notes purchased, whether at original issuance or otherwise, for an amount greater than the stated principal amount to be paidatmaturityof suchNotes,or,insomecases,attheearlier redemption date of suchNotes ("Premium Notes"), willbe treated as having amortizable note premium for federal income tax purposes and Massachusetts personal income tax purposes. No deduction is allowable for the amortizable note premium in the case of obligations, such as the Premium Notes, the interest on which is excluded from gross income for federal income tax purposes. However, a Noteholder’s basis in a Premium Note will be reduced by the amount of amortizable note premium properly allocable to such Noteholder. Holders of Premium Notes should consult their own tax advisors with respect to the proper treatment of amortizablenotepremiumintheirparticularcircumstances. Bond Counsel has not undertaken to determine (or to inform any person) whether any actions taken (or not taken) or events occurring (or not occurring) after the date of issuance of the Notes may adversely affect the value of, or the tax statusofintereston,theNotes. Prospective Noteholders should be aware that from time to time legislation is or may be proposed which, if enacted into law, could result in interest on the Notes being subject directly or indirectly to federal income taxation, or otherwise preventNoteholdersfrom realizingthefullbenefitprovidedundercurrentfederaltaxlawoftheexclusionofinterestonthe Notes from gross income. To date, no such legislation has been enacted into law. However, it is not possible to predict whether any such legislation will be enacted into law. Further, no assurance can be given that any pending or future legislation, including amendments to the Code, if enacted into law, or any proposed legislation, including amendments to theCode, or anyfuturejudicial,regulatoryor administrative interpretationor developmentwith respecttoexisting law, will not adversely affect the market value and marketability of, or the tax status of interest on, the Notes. Prospective Noteholders are urged to consult their own tax advisors with respect to any such legislation, interpretation or development.
