BESTON GLOBAL FOOD COMPANY LIMITED 7 chairman’s letter Dear Investor, It is a pleasure to invite you to become a Shareholder in Beston Global Food Company Limited (“BGFC” or “the Company”). The Company has been established to hold selected assets and investments in the food and beverage industry, predominantly in Australia but also strategically in several overseas countries. I believe that BGFC offers a differentiated product to many of the other agriculturally focused companies listed on the Australian Securities Exchange (“ASX”). The investment objective of the Company is to invest in well established companies in Australia and globally that are producing food and beverage products which are able to capitalise on the demand opportunities emerging from the exponential growth in the world’s population and specifically from the “dining boom” taking place in Asia with the rise in middle income classes in the region (and the increasing interest of consumers in “pure food” and food safety). BGFC will be a branded food company which, through its stable of investments, will aim to provide high quality, safe, clean (natural and/or organic) differentiated food and beverage products to consumers with ingredient integrity and a secure supply chain and thereby provide them with an authentic, genuine, healthy food experience. The Company’s investment strategy is to seek out investments which provide a competitive income return on its investments and provide attractive capital growth potential for its investors. The initial investments of the Company have sound investment qualities with strategic opportunities for expansion. The Company is well positioned to take advantage of the future growth in demand in Asia, a region which is expected to grow dramatically in its standard of living over the next 10 to 20 years. The Company will focus its attention in the short term on the prudent selection of investment opportunities in Australia but will adopt a global focus in order to develop an international spread of food and beverage assets over time which meet its objectives. Companies and assets identified for investment will typically be with experienced participants in the food and beverage industry which have highly sought after products and/or which can provide complementary services to enhance the Company’s growth and profit performance in the future. My fellow Directors and I commend this investment opportunity to you and urge you to read this Prospectus carefully and seek professional advice to determine if this investment is appropriate for you. If appropriate for your circumstances, I look forward to welcoming you as a shareholder. The benefits of investing in the Company include opportunities for Shareholders to: • Achieve exposure to a portfolio of investments with branded food and beverage products backed by a secure supply chain. • Benefit from the expertise and future growth potential of well established family businesses in the food and beverage sector that have proven themselves over time. • Pick up the arbitrage that exists between buying private companies at unlisted company price/earnings multiples and taking them to the listed ASX space where the multiples applied to food and beverage companies may be much higher. • Obtain the benefits of extracting the synergies in the business model, both within the investee companies (via ownership of raw material supplies, utilisation of excess production capacity and direct access to high value markets) and between investee companies (for example via sharing of technical know-how, product information and market access). BESTON GLOBAL FOOD COMPANY LIMITED 10 1.2 key investment highlight (continued) Question Answers For more information What will drive The global food and beverage industry is underpinned Sections 4 & 7 Shareholder returns? by a number of compelling long term drivers: • Rising global population; • Rising urbanisation; • Rising affluence in developing markets; and • Changing consumer demand towards higher value foods, for example, high energy and more nutritional foods. 1 Companies operating in this industry, and targeted by BGFC, have attractive fundamentals, for example: • Are characterised by sustainable growth; • Experiencing upward pressures on selling prices; • Have strong cash flows underpinned by secular change; • Possess the ability to capitalise on the new investment that has taken place in product development, packaging services and distribution capabilities in the food and beverage industry in recent years; and • Have opportunities to improve operating efficiencies through utilisation of excess capacity, reducing waste, increasing agricultural productivity, and improved packaging and distribution. The business model of BGFC provides security of supply of raw materials to enable these fundamentals to be realised by the investee companies in the Portfolio, as well as providing direct-to-market access to targeted consumer markets to enable them to increase their sales margins. A director or officer of the Investment Manager will sit on the Board of each of the investee companies and play a key role in driving the forward strategy of these companies, utilising both its skills and experience (as outlined in Section 7.3) and its long established network of strategic contacts in China and Asia to enable investee companies’ products to penetrate deeper into these markets.
