This warranty does not cover defects or damage arising from improper installation, lack of or improper maintenance, improper storage, shipping and handling, corrosion, erosion, ordinary wear and tear, misuse, abuse, accident, unauthorizedservice,orusewithunauthorizednon-ARROWLOCKproductsorparts. Thiswarrantyisvoidifanymodificationismadetothewarrantyproduct,regardlessofwhetherthemodificationcausesor contributestotheallegeddefect. Allmodificationsaremadeattheriskofthepartymakingthemodification. Drygraphite,molybdenumdisulfide,or Polylube® is recommended. Petroleum based liquid lubricants should only be used in cylinders in harsh or corrosiveenvironmentsandshouldnotbemixedwithdrylubricants. WarrantyforCylindersFieldCombinated 1.KeysshallbecuttotheARROWLOCK®keybittingspecificationsrequiredfortheparticularkeyway anddepthsystem. 2.Allpinlengthsshallbeselectedaccordingtoprevailingfactorystandards. 3.OriginalARROWLOCK®cylindercomponents,includingpintumblersandkeyblanks,shallbeused. Wereservetherighttovoidthewarrantyifwedeemthatamalfunctionisaresultofnon-original componentswhichdonotconformtoARROWLOCK®standards. KeyingSystems AllbittingsshallbeoriginatedorauthorizedbytheARROWLOCK®KeySystemsDepartmenttobecompatiblewithone anotherinaspecifictypeofcylinder(conventional,security,highsecurity,interchangeablecore,removablecore)andwith- inaparticularkeyingsystem. ARROWLOCK®willnotpayforthecostofrepairperformedotherthaninaccordancewiththiswarranty. RefertoourReturnedGoodsPolicyregardingthereturnofaproductorcomponentpartbelievedtobedefectiveascovered bythiswarranty.Abriefdescriptionofthedefectwillberequired.Productwillbeexamineduponreturn.Intheeventsuch examinationrevealsadefectcoveredbythiswarranty,theproductwillberepairedorreplaced. Freight All orders are shipped FOB factory/warehouse, except as expressly provided below. When delivered to the TransportationCompany,thePurchaserassumestheriskoflossordamageintransit. Customerorderswithnetproductvalueinexcessof$5,000.00willbeshippedprepaidtoasingledestinationpoint intheUnitedStates. Customer order with net product value less than $5,000.00 will be shipped prepaid by ARROW LOCK’s carrier ofchoice,andtheshippingchargeswillbeaddedtoCustomer’sinvoice.ARROWLOCK®willchoosethecarrierand routing.IfaCustomerrequestsanalternativecarrier,freightchargeswillbeincurredonCustomer’sinvoice. MinimumInvoice Minimuminvoiceforcompleteproductis$200.00netproductvalue.Theminimuminvoiceforpartsordersis$100.00 netproductvalue. This policy does not include the following: Cut (bitted) Keys of any type, Master Keyed Cylinders, Master Keyed PadlocksandFactoryGeneratedBittingLists. Samedayorderexpediteswillbeinvoicedatbooknet. Quotations IfARROWLOCK®electstoofferaQuote;suchQuotewillbevalidforsixty(60)days.Completeshipmentoftheorder mustbeacceptedbyPurchaserwithinnine(9)calendarmonthsfromthedateofpriceissuance. TheQuotenumbermustbereferencedontheorder. AnyinvoicedorderthathastheincorrectdiscountappliedtoitanddidnothaveaQuotecopyattachedtotheorder or the Quote number written on the order will have a service fee of $100.00 net DEDUCTED from any sales credit issuedforthedifferenceindiscount. The Quote is null and void if the Purchase Order does not include ALL product lines listed on the Quote or if the quantitiesforanitemcoveredbytheQuotedeviateby10%ormore. With the issuance and acceptance of a Quote for the purchase of products, the Purchaser agrees that products so purchasedwillnotberesoldortransferredtoanyDistributornotauthorizedbyARROWLOCK®tosellitsproducts. This would be inclusive of branches of the quoted Distributor. Failure to abide by this restriction may result in the Distributor’sineligibilityforPriceConcessionAuthorizations,orotheractionsinARROWLOCK’sdiscretion. ARROWLOCK®anditssalesrepresentativesreservetheright,intheirsolediscretionandforanyreason,torefusea Distributor’srequesttoquoteapriceotherthanARROWLOCK’sstandardlistpriceandregardlessofwhetherARROW LOCK® or its sales representatives have previously quoted discounted prices to the Distributor on some or all of itsorders. Non-CatalogedProducts Products not cataloged or listed in this price book will be considered as special products, and will not be manufacturedwithoutpriorapprovalfromARROWLOCK®. Allchangerequestsforgoods,otherthanforthetworeasonsstatedabove,mustbesubmittedinwritingtoCustomer Servicewithintwo(2)businessdaysofreceiptofacknowledgementoftheorder. Add–OnOrderstoQuote AnyneworderrequestingspecialpricingtomatchanexistingQuotenumber,whichhasalreadybeenordered,willbe accepted up to 60 days after the acknowledgement of the original order. All add-on orders must reference the originalfactoryordernumberandthecorrespondingQuotenumbertoreceivethequotedpricingdiscount.Add-on ordersforstockwillnotbeaccepted. Delivery Orders will be acknowledged and given a scheduled delivery date based on estimated manufacturing lead times. Completeinformationisrequiredtoprocessallorders.Orderswithinsufficientinformationforprocessing(i.e.keying information,doorsizes,etc.)maybesubjecttoextendedleadtimeswhicharerelativetothetimerequiredinobtaining thenecessaryinformationfororderprocessing.Manufacturingleadtimewillbeginonceallinformationisreceivedto processanorder.ARROWLOCK®willusereasonableeffortstodeliverproductsasestimated,butmakesnoguarantees astodeliverydates. ARROWLOCK®willnotbeliableforbackchargesincurredbasedonavailabilityofproductorasaresultofdelaysin deliverycausedbyinsufficientinformationrequiredtoprocessanorder. ARROWLOCK®willnotbeheldresponsiblefordelaysindeliverycausedbystrikes,fires,floodsoranyothercauses beyondourcontrol,includingthedeliveryofmaterialtous.UndernocircumstancesshallARROWLOCK®beliableor accountableforconsequentialdamagesduetofailureofdelivery. Claims IntheeventofCompanyorCustomererror,claimsforshortages,pricingerrorsand/orincorrectlyfilledordersmust besubmittedinwritingtoCustomerServicewithinthirty(30)daysfromreceiptofmaterial. AnyclaimsforshortagesordamagebytheCarriermustbemadebytheCustomerdirectlytotheCarrier. Limited Carrier insurance is typically offered for all orders. If the Customer requires additional insurance, please contactanARROWLOCK®CustomerServiceRepresentativeuponsubmittaloftheorder.ARROWLOCK®willobtain requestedinsuranceandtheadditionalcostwillbeincludedonCustomer’sinvoice. InvoiceDeduction AnARROWLOCK®SalesRepresentativeorCustomerServiceRepresentativemustbenotifiedofanydisputedinvoices within sixty 60 days from the date of invoice. Deductions should only be taken for the disputed amount and the balanceoftheinvoiceisdueandpayablewithinstandardpaymentterms. Return of product due to customer order error or accommodation must be pre-arrangedwithARROWLOCK®andapprovedinwritingbySalesManagement. Allproductsreturnedas“Goodwill”mustmeetthefollowingcriteriatobeconsideredareturn: •Beinoriginal,unmarked,andundamagedcartons. •Bevaluedinexcessof$200.00net. •Shippedandinvoicedwithintheprevious120days. •Custom,non-catalogedgoods,master-keyedorARROWLOCK®ArrowExpressshippedproduct isnotreturnable. NocreditmaybetakenorissuedpriortoRGAapprovalandreceiptofproduct. Alldefectivegoodswithinthetermsofourlimitedwarrantymaybereturnedforcreditorreplacement. ProductModifications ARROWLOCKproductsarenotdesignedfororintendedforaftermarketmodification. ThewarrantyonARROWLOCK products becomes void if the product is modified in any way, regardless of whether the modification causes or contributes to any alleged defect. Warranty voiding modifications include, but are not limited to, third-party electrificationofnon-electricproductsand/ortheinstallationofnon-approvedornon-ARROWLOCKcomponents. If an ARROW LOCK product is modified it no longer meets industry certification and quality control standards applicabletotheoriginalproductandisnolongeragenuineARROWLOCKproduct. Amodifiedproductmaynotbesold asanARROWLOCKproductandnoARROWLOCKtrademarksorcertificationmarksbasedontheoriginalARROWLOCK product, such as U.L. or ANSI/BHMA marks, may appear anywhere on the modified product or on any packaging, literatureorinstructionssoldwiththemodifiedproduct. All original ARROW LOCK packaging and literature carrying ARROW LOCK trademarks and must be destroyed if the original ARROW LOCK product is modified. Portions of the product that carry an ARROW LOCK trademark or certificationmark,suchasmortisefaceplates,lockbodies,etc.mustbediscardedand/orreplacedbythepartymaking the modification. U.L. and other certification testing and marking are also the responsibility of the party making modification.TheuseofARROWLOCKtrademarksonmodifiedproductsconstitutestrademarkinfringement. IndividualComponents Itiscompanypolicythatcomponentsincludingbutnotlimitedtolatchessoldseparatefromlocksetsareintendedto besoldasreplacementcomponentsforappropriateARROWLOCKproductsonly.Allotherusesrequirepriorwritten approvalfromARROWLOCK. Anyretrofitorotherfieldmodificationtoafire-ratedopeningcanpotentiallyimpactthefireratingoftheopening,and ARROWLOCKmakesnorepresentationsorwarrantiesconcerningwhatsuchimpactmaybeinanyspecificsituation. Whenretrofittinganyportionofanexistingfire-ratedopening,orspecifyingandinstallinganewfire-ratedopening, please consult with a code specialist or local code official (Authority Having Jurisdiction) to ensure compliancewithallapplicablecodesandratings.
