RESTATED CONTRACT dated as of June 30, 2015, between THE CITY OF NEW YORK (the "City"), a municipal corporation of the State of New York, having an office in City Hall, New York, New York 10007, and NEW YORK CITY ECONOMIC DEVELOPMENT CORPORATION, a not-for-profit corporation incorporated under the Not-for-Profit Corporation Law of the State of New York, having an office at 110 William Street, New York, New York 10038. WHEREAS, in accordance with the certificate of incorporation of the Corporation (hereinafter defined), which provides that the purposes of the Corporation include "relieving and reducing unemployment in the City of New York" and "promoting and providing for additional and maximum employment and bettering and maintaining job opportunities", the Corporation will encourage hiring of New York City residents and will comply with any related City rules applicable to the Corporation; and WHEREAS, the City from time to time has retained the Corporation to perform certain services principally of the type to be performed under this Contract (hereinafter defined); and WHEREAS, the City desires to retain the Corporation to perform the services hereinafter set forth and the Corporation desires to perform the same. NOW, THEREFORE, in consideration of the mutual covenants contained herein, the City and the Corporation agree as follows. LDCMT-26-5570 ARTICLE 1 GENERAL PROVISIONS Section 1.01 Definitions The terms defined in this section, for all purposes of this Contract have the meanings herein specified. "Applicant" means an individual, partnership, corporation or other entity seeking information with regard to or applying for financial assistance services offered through the Financial Services Program (hereinafter defined). "Business day" means any day other than a Saturday, Sunday or holiday on which the offices of the City are authorized or obligated by law or executive order to close. "Chairperson" means the Chairperson of the Corporation or his or her designee. "City" means The City of New York, a municipal corporation of the State of New York. "Commencement Date" of this Contract, as amended and restated herein, means July 1, 2015. "Commercial Contract" means that certain contract, dated as of May 18, 1981, between the City and PDC (hereinafter defined), as amended by Amendment of Contract, dated as of June 1, 1982, with respect to commercial development services by PDC. 2 LDCMT-26-5570 "Commissioner" means the Commissioner of DSBS (hereinafter defined), or his or her designee or successor in function within DSBS or its successor agency. "Community Development Funds" means funds granted to the City by HUD (hereinafter defined) under Title I of the Housing and Community Development Act of 1974, as amended. "Comptroller" means the Comptroller of the City or his or her designee. "Construction Contract" means a contract to provide labor and materials for the purpose of building, rehabilitation, renovation, alteration, demolition, sealing, repair or improving of real property payment for which, in whole or in part, is from Program Funds (hereinafter defined). "Consultant" means the person or firm from which the Corporation purchases services under a Consulting Contract (hereinafter defined). "Consulting Contract" means a contract to provide professional or similar services appropriate to carry out the Program (hereinafter defined), including without limitation (a) planning, engineering, architectural, design, drafting, construction management, data processing, accounting, legal, surveying, mapping, testing of site conditions, title search and insurance, feasibility and market analysis, risk management, economic and environmental impact analysis, and appraisal services, payment for which, in whole or in 3 LDCMT-26-5570 part, is from Program Funds, and excluding (b) loan agreements and other documents entered into with Applicants pursuant to Section 2.06, 2.07 or 2.08. "Contract" means this Amended and Restated Contract as the same may from time to time be modified, amended or supplemented. "Corporation" means EDC (hereinafter defined). "Corporation Counsel" means the Corporation Counsel of the City or his or her designee. "Corporation Loan Repayment Bank Accounts" has the meaning set forth in Section 3.14(a). "Council" means the Council of the City or a designated committee thereof. "Deputy Commissioner of Administration" means the Deputy Commissioner of Administration of DSBS, or his or her designee or successor in function within such agency or its successor agency. "Deputy Mayor" means the Deputy Mayor for Housing and Economic Development of the City, his or her designee or successor or predecessor in function or such other person as the Mayor may designate. 4 LDCMT-26-5570 "Development Funds Steering Committee" means the Development Funds Steering Committee of the City. "Director of Management and Budget" means the Director of the Office of Management and Budget of the City or his or her designee. "DSBS" means the New York City Department of Small Business Services or its successor agency. "Economic Development Program" has the meaning set forth in Section 1.02. "EDA" means the Economic Development Administration of the United States Department of Commerce. "EDC" means New York City Economic Development Corporation, a not-for-profit corporation incorporated under the NPCL (hereinafter defined), that was formerly named New York City Economic Growth Corporation and with and into which Former EDC merged on the Merger Effective Date (hereinafter defined), or any successor organized pursuant to the NPCL. "Events of Default" has the meaning set forth in Section 10.01. "Financial Plan" has the meaning set forth in Section 3.04. 5 LDCMT-26-5570 "Financial Services Program" has the meaning set forth in Section l.02(b). "Former EDC" means a local development corporation named New York City Economic Development Corporation that merged with and into New York City Economic Growth Corporation on the Merger Effective Date. "Forty-second Street Contract" means that certain contract, dated as of December 5, 1980, between the City and PDC, as amended by Amendment of Contract authorized by the Board of Estimate by resolution adopted as Cal. No. 369 of September 16, 1982, with respect to PDC's performing services in relation to the Forty-second Street redevelopment project. "FSC" means Financial Services Corporation ofNew York City, a local development corporation organized pursuant to Section 1411 of the NPCL, or any successor organized pursuant to Section 1411 of the NPCL. On July 1, 1991, FSC merged into PDC and PDC changed its name to New York City Economic Development Corporation. "FSC Contract" means the Original Contract (hereinafter defined) between the City and FSC, dated as of December 15, 1979, as amended, restated, supplemented and modified, through and including the amendment as of June 30, 1991, relating to the performance by FSC of certain financial services. "HUD" means the United States Department of Housing and Urban Development. 6 LDCMT-26-5570
