AMBULANCE GREEMENT ETT coRPoRATlON. AND DALEY'S MEDICAL TRANSPORT INC'. d/b/a BUD'9 AMzulaNaE SERVICE, WHEREAS, the VILLAGE OF DIXMOOR desires to contract for emergency medical services; and WHEREAS, BUD'S Ambulance, an lllinois corporatlon, is a provider of advanced life support,/ paramedic services licensed by the State of lllinois Department of Public Health; and wHEREAS, the VILLAGE OF DIXMOOR is empowered to contract with private entities for advanced life support,/paramedic services and is desirous of contracting with BUD'S Ambulance., an lllinois corporation, to provide said service; and NOW, THEREFORE, be it agreed as follows: Page 1 Nr at+ \ \N[l{.tnbgL this|l-day of , 2013, by and between the This Agreement made VILLAGE OF DIXMOOR, an lllinois municipal corporation (hereinafter referred to as VILLAGE) and BUD'S Ambulance., dfl lllinois Corporation, (hereinafter referred to as BUD'S) in consideration of the mutual covenants and promises contained herein as follows: l. BUD,S shall provide advanced life support./mobile intensive care ambulance services to the vILLAGE for three (3)years commencing December'1, 2o13 and continuing until November 30, 2O16. The paramedic services provided by BUD',S shall be by paramedics licensed by the state of lllinois together with properly equipped and licensed ambulances' all in conformance with the "Emergency Medical services Systems Act" rules and regulations relating to the "Emergency Medical services Act" and "south cook county Emergency "A" Medical Services policies and procedures Manual" as attached hereto as Group Exhibit (6) which we commit to an optimum response time of not more than six minutes of notification. During the term of this Agreement and any extensions thereof, BUD's shall fully comply with all said rules, regulations and license requirements' In the event that BUD'S is -- PageZ not in compliance therewith, said Agreement shall terminate at the option of the VILLAGE with written notice to BUD,S. BUD'S shall provide the VILLAGE with copies of any notices received by them that indicates BUD'S is not in compliance as provided for in this paragraPh. 2, V|LLAGE agrees to pay BUD,S monthly. This fee schedu|e is attached as "GrouP Exhibit 8". 3. BUD'S shall respond to all medical emergency calls within the VILLAGE on a 24- hour per day basis. BUD'S shall take all necessary measures to operate a sufficient number of paramedic ambulances to respond to each VILLAGE call. However, in the event that all of BUD'S paramedic ambulances are occupied with other calls, BUD'S shall be responsible to have another ambulance respond to the VILLAGE call and in addition, the first ambulance available will respond to the VILLAGE call' 4. BUD,S will be entitled to charge the service recipient(s) its usual and customary fees for all medical and transportation services provided to them' BUD'S alone shall be responsible for collecting said charges from the service recipient(s)' said charges shall be Page 3 uniform and a schedule of said charges shall be on file with the Clerk of the VILLAGE OF DIXMOOR. 5. All employee benefits for BUD'S employees shall be the responsibility of BUD'S including but not limited to vacation, FlcA, worker's compensation and unemployment compensation. 5. BUD'S shall furnish worker's compensation in the statutory amount as well as professional and public liability insurance in the amount of $1,OOO,OOO'OO to cover all of its employees in the performance of any duties for the vILLAGE. BUD'S shall maintain insurance as in accordance with all Federal, State, and local requirements and certificates of said insurance shag be provided to the vTLLAGE naming the VTLLAGE additional insured. said certificates shail provide that notice be given to the vTLLAGE in the event that the insurance coverage is terminated for any reason' ln the event said insurance is terminated for any reason, or is in an amount berow the above specified amounts, the VTLLAGE may terminate Page 4 this agreement at their option with written notice to BUD'S. Evidence of said insurance shall be filed with the VILLAGE Clerk immediately upon execution of this Agreement. T. BUD'S agrees to indemnify and hold harmless the VILLAGE, its officers, agents and employees from and against all claims, damages, losses, judgments and expenses (including attorney's fees) arising out of or resulting from the conduct and performance of BUD'S and its employees while acting pursuant to this Agreement. g. The police Department of the VILLAGE shall respond in situations where safety could be a concern, i.e., domestic violence, injury due to criminal activity, unruly or intoxicated persons. BUD,S shall have the authority to request that the Police Department respond to calls as provided for in this paragraph' 9. BUD',S shall also comply to the following requirement or concerns: A. Shall maintain Quality Assurance Program to insure that the best possible patient care is delivered' B. Shall be able to meet multi-unit responses; Page 5 C, Shall transmit and receive radio communications on frequency 154'0ZO (ttre VIr-LnGE OF DIXMOOR's fire channel); D. Shall agree to transport to the nearest appropriate hospital regardless of the Patient's abilitY to PaY; E. Shall cooperate with the VILLAGE upon request by providing information relevant to any conflict or complaint relative to a particular call, and be amendable to resolution thereof by the Village appointed designee acting as a mediator; F. shall be able to support public education and community service programs which demonstrate a commitment to the community, and be willing upon execution of the Agreement to address civic organizations and churches if requested to explain the transition; G. Shall honor the VILLAGE's current mutual aid agreement for Emergency Medical Services to surrounding communities' Page 6 10. This Agreement maY be terminated without cause by either party by giving of written notice of said termination. lf notice is given pursuant to this Section, the termination shall be effective thirty (3O) days after said written notification' .|1. This Agreement and attached Rider represents the entire contract between the parties and may not be modified or amended except by written agreement of the parties. This Agreement and Rider may not be assigned by either party without the prior written consent of the other. Dorothy Dl Armstrong, t' Attest: 7 /U/0, Secretary PageT GROUP EXHIBIT B Listed below are the terms and rates for the contract bewveen the Village of Dixmoor and Bud's Ambulance Service beginning November 15, 2013' The contract will run for three (3) years as set forth in the Agreement, during which time the monthly billings for services shall be as follows: December l, 2013 - November 30' 2O14 $2,94s.s6 December 1,2014 - November 30' 2015 adjusted by the CPI December 1, 2015 - November 30' 2O16 adjusted by the CPI Monthly billings are due on the first day of each calendar month. In addition a clause concernlng uncontrollable fuel costs is included. This clause will only activate if gasoline or diesel fuel prices exceed $3.00 or $4.00 per gallon, bulk price, and will terminate if fuel prices abate. For example, if the first month of any given year saw fuel prices exceed $3.00 per gallon, the second month bill would contain an additional line item for a z% tuel surcharge totaling $63.93. This charge would not appear on the third month bill if fuel prices dropped below $3.OO during the second month. Costs in excess of $4.OO per gallon would result in a 4% surcharge' Monthlypaymentsmustbepaidwithin3oca|endardaysoftheduedate. Note: In lieu of paying the initial monthly fees, Bud's will agree to take ownership of Dixmoor's fully equipped 2 ALS ambulances, at a fairly negotiated market price and apply the services rendered to that purchase price until fully paid. Once the ambulances have been paid through services, Bud's would commence the monthly billings. Page 8 RIDER TO AGREEMENT BETWEEN THE VILLAGE OF DIXMOOR AND DALEY'S MEDICAL FOR PARAMEDIC AND AMBULANCE SERVICES This Rider to the Agreement Between the Village of Dixmoor and s Medical Transport lnc., d/b/a BUD'S Ambulance for Paramedic and Ambulance services is made this Mdavor _[Nern\€{- , 2013, by and between the VILLAGE OF DIXMOOR (hereinafter, the,,Village) and BUD'S AMBULANCE (hereinafter, "BUD"S) and shall be partof said Agreement in consideration of mutual covenants and promises contained herein as follows: ,1. Group Exhibit A as referenced and attached is made part of the parties' Agreement' ?. cqygregg. BUD'S affirms that it has sufficient personnel and EMS vehicles and a back-up system and/or mutual aid agreements with other EMS providers to ensure that when an EMS vehicle is responding to a call and a simultaneous call is received for EMS services within that vehicle's coverage area, there will be adequate coverage for the VILLAGE consistent with the terms and conditions set forth in the parties' Agreement. 3. Notices. All notices required to be provided under this Agreement shall be in writing and served either personally during regular business hours or by U.S- First Class mail addressed with sufficient postage prepaid. Notices served personally shall be effective upon receipt, and notices serviced by mail shall be effective upon receipt. Page 9 4. lndemnification. The indemnification obligations set forth in the parties' Agreement shall survive the termination of the Agreement' ( Applicabilitv and Severabilitv. lf any provision of this Agreement or Rider is found to be illegal, invalid, or void, the remaining provisions shall not be impaired and the Agreement shall, to the extent reasonably practicable and feasible, be interpreted to give effect to the parties' intent as expressed herein' 6. Governing Law and Jurisdictio.n. This Agreement and Rider shall be governed, interpreted and construed in accordance with the laws of the state of lllinois' The circuit court of cook county, lllinois shall have jurisdiction over any and all disputes arising under this Agreement and each Party hereby expressly consents to such Court's exercise of jurisdiction. lN WITNESS WHEREOF, the pafties have entered into this Rider as part of the pafties, said Agreement as of this a\+ day of NOVstnl)€L , 2013.
